1.Who this is between
PoolsiFi Technologies Inc. ("we", "us") and the business you post a project for ("you"). The person who ticks the box on the form confirms they can agree on the business's behalf. We record which version was accepted and when. The Terms of service and the Privacy policy apply alongside it; where they differ, this agreement wins for businesses.
2.Free to post, nothing to install
Posting a project and taking part cost you nothing. There is nothing to install: the interview, the briefs, the weekly check-ins and the finished work all live on this site, in your dashboard.
3.The interview and the briefs
From your dashboard, a guided AI interview of about 15 minutes asks about your business and proposes up to three AI projects. You approve the ones you want with one click; each becomes a scoped brief, sized for 1 to 3 months, ready for matching. We may narrow a brief so a trainee can finish it in that time. Nothing is matched until you have approved it.
4.Who the interns are
Interns are trainees. Each has finished our course and built an agent of their own that was approved before placement. An AI mentor guides them from their internship page. No engineer is assigned to your project by default and no one signs off on the code before you see it; the founder can step in at any time, and will if you ask.
5.What we ask of you
Up to an hour a month for each intern: read the intern's weekly written check-in, give clear answers when the intern asks what you need, and approve the work on your dashboard. There is no fixed weekly call; a short call can be arranged when either of you needs one. When the internship ends, an honest written review of the intern's work, and a short reference letter if the work was good.
6.How many interns at a time
You can have up to 5 active internships at a time, so each intern gets your real attention. A new one can start when one ends.
7.Confidentiality
Each intern signs an NDA with you before they get access to anything beyond the brief. Our template is the Mutual NDA, signed at matching.
8.Your data and access
Give interns synthetic or sample data wherever you can. Keep passwords, API keys and admin access out of interns' hands: give them test accounts, or run that step yourself. Share customers' personal data only if the project cannot work without it and you are allowed to.
Your interview answers and your brief are processed by the AI model provider named in our Privacy policy, to run the interview and the intern's AI mentor. We do not sell them or share them with anyone else.
9.Agent access and tokens
If you connect an account on your Agents page, such as Gmail, we store the access the provider gives us, encrypted, and use it only to carry out requests from your intern's agent that you allowed. Your intern never receives your password or that access: their agent holds a token you issue, limited to the actions you tick. A copy-and-paste inbox stores no access at all.
A token works like a key. Pass it only to your intern, privately, and revoke it if it leaks; we keep only a fingerprint of it and cannot show it again. Every request is recorded, and every message that would leave your mailbox waits for your approval: approving it is your decision to send it, so read it first. You can revoke a token, disconnect an account or pause all agents at any time, and it takes effect on the next request. Disconnecting deletes the stored access and asks the provider to revoke it.
10.Business memory (optional)
Off unless you turn it on. Business memory is optional. It starts only when you press "Turn on business memory" on your Memory page, and pressing it is your agreement to this section. You can turn it off at any time: that deletes the memory and disconnects every agent at once, and backup copies are deleted within 7 days. We also delete it when your account is closed. Not turning it on changes nothing else in this agreement.
What goes in. Facts about how your business works: what you said in the interview, the brief, your intern's weekly check-ins, a one-line note when the agent reads a system you connected, facts you add, and notes your intern's agent adds. Before anything is saved we replace names, email addresses, phone numbers, card and id numbers and street addresses with placeholders. That is automatic and can miss things, so do not add customers' personal data, health information, card details, passwords, or anything you are not allowed to share. You can correct or withdraw any fact.
It is yours. The memory and what is in it belong to you. We store and process it only to run business memory for you. We do not sell it, use it to train AI models, show it to any other business, or add it to our library.
Where it is kept and who sees it. On a server we run in Germany, in a memory kept apart for your business. Search is by keyword on that server; nothing is sent to an AI service to search it. Only an intern placed with you can connect an agent, during their internship, with a token they create; you see every token and can revoke it, and it ends with the internship. An agent can read and add notes, never delete or change your facts. When it recalls a fact, that fact goes to the AI model the agent runs on, like anything else the intern works on under the NDA. Our admin screens show counts, not contents; we open your memory only to fix a fault you report, at your request, or when the law requires it.
Care and limits. We protect it with reasonable measures: encrypted connections, separate storage for each business, tokens that work only for your memory, and daily backups. No system is perfect; if we learn that someone reached your memory without your permission, we tell you without undue delay and say what we know. Business memory is a working aid for your intern, not your business records: keep your own.
Each side's promises. You will protect the intern and us against claims, losses and reasonable legal costs that arise from what you or your staff put into business memory, or allow to be fed into it, without the right to share it; this adds to your promise under "Indemnities". The intern makes the matching promise for misuse of a memory token or of what is in your memory. We will protect you against claims, losses and reasonable legal costs that arise from our using your memory in a way this section forbids, and the limits of liability do not reduce that promise. Otherwise business memory is covered by the limits of liability below.
11.You own what is delivered
The system built for you is yours: the code, prompts, configuration, documentation and the running agent. You may use it, modify it and resell it, to other businesses or as part of your own products, without paying the intern or us. Open-source parts stay under their own licences. The intern may describe the work in their portfolio and CV in summary form, without your confidential details.
12.The completion fee
11.1 We pay you $50 for each internship you complete with a written review of the intern's work. An internship is complete when you record its outcome on your dashboard with that review.
11.2 The fee is per completed internship, not per intern placed. No review, no fee.
11.3 Fees are listed on the Earnings page of your dashboard and paid by hand, by bank transfer or PayPal, within 30 days of completion. You give us the payment details. You are responsible for any tax on what you receive.
11.4 The fee is a programme fee for your time: the check-ins you read, the approvals, the review and the letter. It is not wages, commission or income we promise, and we make no claim about what you will earn.
11.5 We may change the fee for internships that start after we publish a new version of this agreement, never for one already under way.
13.Honest reviews, letters and referrals
Reviews, reference letters and referrals must reflect what you saw. A review written only to collect the fee, or one that is not genuine, does not earn it, and we may withhold the fee or ask for it back. Once an internship is complete you can refer the intern to other businesses from your dashboard; the intern is told each time and can withdraw any referral.
14.No employment, and hiring
There is no employment relationship between you and the intern unless you hire them. During the internship the intern is not your employee or contractor, nor ours, and nobody is paid for the work. If you want to hire the intern, do it directly with them, on terms you agree, with no fee to us and no exclusivity. From then on the relationship is between you and them.
15.Stopping
You can stop at any time. You keep whatever has been built so far. There is nothing to pay and nothing to cancel.
16.Limits of liability
The system is built by a trainee as part of a training programme and handed over as it is. Test it before you rely on it, and keep a person in the loop for anything that affects money, customers or the law. We are not responsible for what the system does, for losses that are not a direct result of something we did wrong, or for indirect or consequential losses. Our total liability to you, under this agreement and every other agreement with us taken together, is limited to 25% of the amounts you paid us in the 3 months before the claim. If you paid us nothing in that time, we have no liability to you. This limit does not reduce a completion fee we owe you. Nothing here limits liability that cannot be limited by law.
17.Indemnities
You will protect the intern and PoolsiFi Technologies Inc. against claims, losses and reasonable legal costs, including claims by your customers, staff or anyone else, that arise from:
- the data, accounts and access you give the intern or the agent;
- instructions you give the intern or the agent, and what you approve it to send or do;
- how you use, change or rely on the system after it is handed over;
- your breach of this agreement, or of any law that applies to your business, such as privacy, email, calling and consumer laws.
This promise protects the intern as well as us, and the intern may rely on it. It does not cover what the intern did deliberately against your instructions or against their own agreement with us; that is covered by the intern's promise to you.
18.Disputes with the intern
Any dispute between you and the intern about the internship or retainer, the work, payments, confidentiality, ownership or these promises is resolved only this way:
- Tell us first. Write to AI Harness Labs setting out what happened and what you ask for. We send it to the intern.
- Settle with our help. Both sides have 30 days to settle it, with our help if wanted.
- A neutral arbitrator decides. If it is not settled, we appoint a neutral arbitrator who has no part in the dispute. They decide on both sides' written statements, and a call if they need one, within 30 days of receiving both. Their decision is final and binding, and both sides comply with it. The arbitration is held online, seated at New Delhi, India, and conducted in English.
You agree not to take the intern to court or to any other arbitration, and not to bring or join a group or class claim against them, except to enforce the arbitrator's decision or to ask a court to stop a breach of confidentiality at once.
A claim must be raised with us within 30 days of when you learned of the events it is about. Each side pays its own costs, but a side whose claim or defence the arbitrator finds groundless, or brought to harass, pays the other side's reasonable costs.
19.Governing law and disputes with us
This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada that apply there.
Any dispute between you and AI Harness Labs is resolved only this way:
- Tell us in writing within 30 days of when you learned of what it is about, saying what happened and what you ask for.
- Settle in good faith. We both have 30 days to settle it.
- Online arbitration. If it is not settled, it goes to arbitration under the Arbitration Act, 1991 (Ontario), before a sole arbitrator appointed by the ADR Institute of Canada. The arbitration is held online, on written statements and documents unless the arbitrator decides a video hearing is needed, seated at Toronto, Ontario and conducted in English. The decision is final and binding.
Neither side takes the other to court, except to enforce the arbitrator's decision or to ask a court to stop a breach of confidentiality at once. Claims are brought only individually, never as part of a group or class claim. Each side pays its own costs, but a side whose claim or defence the arbitrator finds groundless, or brought to harass, pays the other side's reasonable costs. The limits of liability in this agreement apply to any award.
Disputes between you and the intern are resolved only as the clause above on disputes with the intern says.
20.Changes
If we change this agreement we publish a new version here with a new date, and email you if the change affects you. The version you accepted stays on record against your business.
21.Being named on the site
Being listed is optional and off unless you turn it on, with the box on the form or the Listing switch on your dashboard. If you do, we may show your business name and city on the site, with the first name of an intern who also chose to be shown, the outcome, a one-line summary of the project and the month it ended. We never show your contact details. You can turn it off at any time.
