Contractor Agreement

Version 2026-10-06. Last updated 14 October 2026.

When a business keeps you on a retainer after your internship, you work for it through AI Harness Labs as an independent contractor. This is what you agree to when you press "Accept" on the offer.

1.Who this is between

PoolsiFi Technologies Inc. ("we", "us") and you, the intern who accepts a retainer ("you"). A business keeps you on a monthly retainer through us under our Retainer Agreement: the business pays us, and we pay you. We record the version you accepted and when. The Intern Agreement still covers the course and the internship.

2.An independent contractor, not an employee

You work as an independent contractor. This is not employment, with us or with the business: there is no salary, no benefits, and no minimum number of hours or months. You choose when you work, within what the retainer needs, and you use your own equipment. Nothing here promises you income or a job; a retainer is a chance, not a promise, and it lasts only as long as the business keeps it.

3.What you are paid

3.1 For each month of a retainer, we pay you 80% of the monthly fee the business pays us for it ($750 a month at today's rate), rounded down to the cent.

3.2 We pay you after the business has paid us for that month: the payment is recorded on our side when the month is paid, and we send it by hand, by bank transfer or PayPal. Reply to the email that tells you it is recorded with the details to use. If the business does not pay a month, there is nothing to share for that month.

3.3 If you are replaced during a month, we share that month fairly between you and the intern who takes over, by the hours each of you logged, and settle it by hand.

4.Hours

Each retainer includes up to 30 hours a month. Log your hours honestly on your retainer page, on the day you work them, with a short note of what you did; the business reads the log. You cannot log more than a retainer's monthly hours, or more than 12 hours on one day across all your retainers. Hours you do not work are not paid differently: the share is per month, and the log is the record of the work.

5.How many retainers

You may hold up to 4 retainers at a time, so each business gets real attention. You can decline any offer.

6.The bench

We may ask you to join our bench. A bench intern can be the backup on other interns' retainers: you can read those retainers and their agents' activity, and an urgent request that nobody acknowledged within 4 hours comes to you. We ask you to acknowledge it when you can and to tell us if you cannot take it. Being on the bench is optional, and you can leave it by telling us.

7.Confidentiality and the never-automate rules

Keep everything you learn about the business confidential, during the retainer and after it, as the Mutual NDA you signed at matching says. Never automate what the owner said must never be automated; the gateway refuses it, and you must not try to get around it. Use synthetic or sample data wherever you can, and never copy the business's data or its customers' personal data off the systems you were given.

8.Who owns the work

You assign to us everything you create for the business on a retainer (code, prompts, configuration, documentation), as you create it, so that we can pass it to the business, which owns it. You may describe the work in your portfolio and CV in summary form, without the business's confidential details. Open-source parts stay under their own licences.

9.Working with the business only through us

While the retainer runs and for 12 months after it ends, you do not work for the business directly, outside this platform, on the kind of work the retainer covers, unless we agree in writing. If the business wants to hire you as an employee, tell us: hiring is direct and free, and the retainer then ends.

10.Conduct and the gateway's rules

Your agent acts for the business only through the Action Gateway, with the tokens the owner issues and under the owner's approvals, limits and pause switch. Do not ask the owner for passwords, keys or admin access. Be honest in your hours, your notes and your replies. Reply to the business's requests on your retainer page, and tell us early if you cannot keep up.

11.Tax

You are responsible for your own taxes on what we pay you, wherever you live. We may ask you for a tax form before we pay you, for example a W-8BEN if you are not a US person, and we may hold a payment until we have it.

12.Ending

Either of us can end a retainer with 14 days' notice, or at once for a serious breach of this agreement. If you leave a retainer, we replace you, and the share for your last month follows clause 3.3. Clauses 7, 8, 9 and 11 continue after the end.

13.Limits of liability

We are not responsible for losses that are not a direct result of something we did wrong, or for indirect or consequential losses. Our total liability to you, under this agreement and every other agreement with us taken together, is limited to 25% of the amounts you paid us in the 3 months before the claim. If you paid us nothing in that time, we have no liability to you. This limit does not reduce the shares we owe you. Nothing here limits liability that cannot be limited by law.

14.Indemnities

You will protect the business you work for and PoolsiFi Technologies Inc. against claims, losses and reasonable legal costs that arise from:

  • your breach of confidentiality;
  • material you deliver that copies someone else's work, or that you had no right to use;
  • acting deliberately outside the brief, the owner's instructions or the gateway's rules;
  • dishonest or unlawful conduct.

This promise protects the business as well as us, and the business may rely on it. For anything other than deliberate, dishonest or unlawful conduct, it is limited to the fees you paid us and, under a retainer, the shares we paid you in the last three months. It does not cover a mistake made in good faith while following the brief; that is what review, testing and the owner's approval are for.

15.Disputes with the business

Any dispute between you and the business about the internship or retainer, the work, payments, confidentiality, ownership or these promises is resolved only this way:

  1. Tell us first. Write to AI Harness Labs setting out what happened and what you ask for. We send it to the business.
  2. Settle with our help. Both sides have 30 days to settle it, with our help if wanted.
  3. A neutral arbitrator decides. If it is not settled, we appoint a neutral arbitrator who has no part in the dispute. They decide on both sides' written statements, and a call if they need one, within 30 days of receiving both. Their decision is final and binding, and both sides comply with it. The arbitration is held online, seated at New Delhi, India, and conducted in English.

You agree not to take the business to court or to any other arbitration, and not to bring or join a group or class claim against them, except to enforce the arbitrator's decision or to ask a court to stop a breach of confidentiality at once.

A claim must be raised with us within 30 days of when you learned of the events it is about. Each side pays its own costs, but a side whose claim or defence the arbitrator finds groundless, or brought to harass, pays the other side's reasonable costs.

16.Governing law and disputes with us

This agreement is governed by the laws of India.

Any dispute between you and AI Harness Labs is resolved only this way:

  1. Tell us in writing within 30 days of when you learned of what it is about, saying what happened and what you ask for.
  2. Settle in good faith. We both have 30 days to settle it.
  3. Online arbitration. If it is not settled, it goes to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by the Delhi International Arbitration Centre. The arbitration is held online, on written statements and documents unless the arbitrator decides a video hearing is needed, seated at New Delhi, India and conducted in English. The decision is final and binding.

If your claim is for no more than the fees you have paid us, we pay the arbitration centre's fees, so bringing it never costs you more than it is worth.

Neither side takes the other to court, except to enforce the arbitrator's decision or to ask a court to stop a breach of confidentiality at once. Claims are brought only individually, never as part of a group or class claim. Each side pays its own costs, but a side whose claim or defence the arbitrator finds groundless, or brought to harass, pays the other side's reasonable costs. The limits of liability in this agreement apply to any award.

Disputes between you and the business are resolved only as the clause above on disputes with the business says.

17.Changes and contact

If we change this agreement we publish a new version here with a new date and email you if it affects you. The version you accepted stays on record against your retainer. Questions: write to hello@aiharnesslabs.com.
