1.Parties
the business's name, of its city and state, represented by the owner's name ("the Business"), and the intern's full name, of the intern's city and country ("the Intern"). Effective from the day the intern is matched.
2.Purpose
The Intern's internship on the project "the project's title" through the AI Harness Labs programme ("the Purpose"). In short: one sentence of the brief.
3.Confidential information
Anything one party shares with the other for the Purpose that is marked confidential, or that a reasonable person would treat as confidential. For the Business: its data, customers, systems, credentials, prices, processes and the code built for it. For the Intern: their personal details and anything they share about themselves.
4.What each party promises
Use the other party's confidential information only for the Purpose. Share it with no one else, except the Business's own staff and advisers who need it, and AI Harness Labs where it is needed to run the programme. Protect it with at least the care you use for your own. Tell the other party promptly if any of it is lost or disclosed.
5.What is not confidential
Information that is public through no fault of the party receiving it, that they already had lawfully, that they receive lawfully from someone else, or that they develop on their own. Disclosure the law requires is allowed, with notice to the other party where the law permits.
6.The Intern's portfolio
The Intern may describe the work in their portfolio and CV in summary form, without confidential details: the problem, what they built, the tools they used and the outcome. The system built belongs to the Business, as the AI Harness Labs Business and Intern Agreements say.
7.At the end
When the internship ends, or when asked, each party returns or deletes the other's confidential information, including copies on personal devices and in AI tools, and confirms it has done so if asked.
8.How long it lasts
These promises last during the internship and for 2 years after it ends. For credentials and customers' personal data, they last for as long as the information stays confidential.
9.No licence, no obligation
Nothing in this agreement grants a licence to anything, or obliges either party to go ahead with any work. AI Harness Labs provides this template and is not a party to it.
10.Governing law
This agreement is governed by the laws of India. A dispute under it between the business and the intern is resolved as the Business and Intern Agreements say: through AI Harness Labs, decided online by a neutral arbitrator it appoints, seated at New Delhi.
11.Signatures
For the Business: the owner's name, owner, accepting electronically on the AI Harness Labs site.
The Intern: the intern's full name, accepting electronically on the AI Harness Labs site.
Each party accepts by ticking "I accept" and pressing the button on their own page. The date, time, network address and browser of each acceptance are recorded on that party's signed copy.
